Audio Editing Service Agreement

These Terms of Service govern the use of our audio editing and custom music creation services. By purchasing our services, you agree to the following terms:

1. Scope of Work

We provide professional podcast audio editing services, including:

  • Noise reduction, leveling, and basic cleanup.

  • Adding intro/outro music when provided.

  • Up to two rounds of revisions (see Section 6 for details).

Additional revisions or work outside the initial scope will be discussed and agreed upon before proceeding.

2. Timeline & Delivery

We strive to deliver completed work within the agreed-upon timeline.

  • If delays occur, you’ll be notified promptly with a revised delivery estimate.

  • Unexpected delays due to health circumstances (see Section 5) may require timeline adjustments.

3. Damaged or Unusable Audio

If the audio you provide is deemed unusable for editing, we will:

  • Notify you promptly.

  • Discuss possible solutions, such as re-recording or adjusting the scope of work and payment.

We are not responsible for inherent quality issues in your original audio files.

4. Payment Terms

  • Payment is required upfront to secure your reservation and confirm your project.

  • Services will not begin until full payment is received and your audio files have been uploaded to the secure Dropbox link provided.

  • If the project cannot proceed due to unusable audio or other unforeseen issues, a refund or credit toward future services may be provided (see Section 7).

5. Disability & Unexpected Delays

As a disabled professional, I reserve the right to adjust timelines for unforeseen health reasons. In such cases:

  • You will be notified promptly of any delays.

  • Alternative arrangements or revised delivery dates will be proposed.

If delays significantly impact your timeline, we may discuss partial refunds or project reassignment.

6. Scope of Revisions

Each project includes up to two rounds of revisions. Revisions cover:

  • Adjustments to edits, timing, or effects within the original scope of the project.

Major changes outside the scope of the original agreement (e.g., replacing entire sections of audio or re-editing approved material) will incur additional charges. Any additional revisions will be discussed and approved before proceeding.

7. Refund Policy

Refunds are issued under the following conditions:

  • Full refunds will be issued if the project cannot proceed due to unusable audio (see Section 3).

  • Cancellations initiated by the Client before editing begins may be eligible for a full or partial refund, depending on the circumstances.

  • Once editing has begun, full refunds will not be issued, except in cases of unusable audio or other agreed-upon circumstances.

8. File Retention Policy

  • Raw audio and edited files will be retained for 90 days after project completion.

  • After this period, files may be deleted unless otherwise requested in writing.

9. Custom Music Rights

For custom podcast music, ownership and licensing terms will be specified as follows:

  • Unless otherwise agreed upon, you receive a license to use the music exclusively for your podcast.

  • The Service Provider retains the right to use non-exclusive tracks for promotional purposes unless otherwise requested in writing.

  • Exclusive ownership rights may be arranged for an additional fee.

10. Confidentiality

Your materials are handled with complete confidentiality. They will not be shared or used outside the scope of our agreement.

11. Promotional Use

You agree that excerpts or descriptions of completed work may be used for promotional purposes (e.g., portfolio, social media) unless you request otherwise in writing.

  • Confidential or sensitive project details will not be disclosed without your consent.

12. Ownership & Rights

You retain full ownership of the edited audio.

  • We make no claims to copyright over your materials.

13. Termination & Refunds

Either party may terminate this agreement in writing if obligations are unmet. In such cases:

  • You will pay for work completed up to the termination date.

  • Refunds will be calculated for any undelivered work based on the percentage completed.

14. Liability

We are not liable for:

  • Quality issues resulting from your original audio files.

  • Delays caused by your actions or lack of timely communication.

15. Governing Law

These Terms of Service are governed by the laws of the State of Colorado.
